The Opportunity The Senior Counsel (Legal Operations) will report directly to the Senior Vice President and General Counsel and will have lead business operations responsibility within the legal department (i.e., managing POET Legal as a business, ensuring that every dollar spent is appropriate, maximizes value, and increases quality and efficiency). This includes coordinating preparation, oversight, and management of the legal department forecast. Given that a large part of POET Legals budget is spent on outside counsel, the Senior Counsel will be responsible for developing outside counsel management programs (including billing policies, request for proposal processes (when appropriate), ! and continuous improvement metrics), the aim of which is to increase qu! ality and speed of legal services, and optimize costs. Likewise, the operations role includes oversight of POET Legals key performance metrics reflected on its balanced scorecard, implementation of initiatives undertaken in connection with performance gaps on the scorecard, and coordinating updates to POET Legals strategic objectives and performance metrics that are meaningful and relevant in ascertaining its overall performance. This individuals primary objective will be to ensure that POET Legal is aligned with POETs mission, vision, values, business objectives, and key strategies. To that end, the Senior Counsel will help evaluate and recommend the appropriate resources and investments that are required for maximum efficiency and alignment with business needs and will define and shape the legal teams policies and procedures and be responsible for implementation and coordination of special strategic projects and initiatives as delegated by the General Counsel. Importantly! , the Senior Counsel (Legal Operations) will be responsible for working with the CEO, the CFO, the General Counsel, and other members of the POET Leadership Team, in implementing an enterprise risk management (ERM) program and coordinating it for the company. This will include the development and review of ERM policies and procedures, including a company risk appetite statement; leading the risk assessment and prioritization process, then integrating that risk inventory into the companys strategic planning process; coordinating the on-going preparation and review of risk management strategies, metrics and trends; and providing appropriate reports to the Board of Directors and Leadership Team. Finally, the Senior Counsel will have primary responsibility for enhancing the brand of POET Legal (both internally and externally), including increasing POETs role and influence among the local and regional legal community and the national in-house bar.
What You Must Have
To perform the essential functions of this position successfully,! an individual should demonstrate the following competencies:

A successful track record of implementing law department management best practices while conservatively stewarding financial resources.
Substantial experience negotiating and drafting licenses and other agreements.
At least 10 years of corporate legal experience, preferably split between a top law firm and a relevant in-house position.
Experience working with enterprise risk management; drafting and maintaining corporate minutes and other corporate records is preferred.
Above-average proficiency with and willingness to use Microsoft Word, Excel, Outlook, and PowerPoint, and the ability and willingn! ess to learn new software applications including Serengeti Tracker.
Excellent organizational skills, communications skills, the ability to multi-task, and most importantly, the ability to work well in a team.
Ability to delegate responsibility and expect accountability among team members by fostering a spirit of teamwork.
Ensure team members are trained in all aspects of existing legal procedures.
Ability to manage others including the responsibility of recruitment and performance management for all reporting team members. This may include: interviewing & hiring, performance reviews, goal-setting, disciplinary action and career development. Education Required:
J.D. with excellent credentials from an ABA accredited, nationally-recognized law school. Licensing Requirements or Preferences:
Currently licensed to practice law in at least one state.
